13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COGNIDOTS SHALL NOT BE LIABLE FOR:

• Loss of profits, revenue, data, goodwill, or business opportunities

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR INR 100,000, WHICHEVER IS LESS.

Some jurisdictions do not allow the limitation or exclusion of certain warranties or liabilities, so some of the above limitations may not apply to you.

17. Dispute Resolution

17.2 Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Hyderabad, India, in the English language, and the decision of the arbitrator shall be final and binding.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Subject to the arbitration provision above, the courts of Hyderabad, Telangana, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services.

19. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
